1. Scope of Agreement
These Standard Terms of Service and Analytical Conditions govern all geochemical assaying, sample preparation, metallurgical testwork, and environmental analysis performed by Rock Vein Assay Laboratories Limited (“RVA Labs”) for the client (“Client”). By submitting samples, issuing a purchase order, or executing an RVA Chain of Custody form, the Client agrees to be bound by these terms.
2. Sample Delivery & Chain of Custody
Samples dispatched to RVA Labs must be packaged securely in accordance with our Geochemical Sample Preparation & Dispatch Protocols. RVA Labs assumes custodial responsibility only upon formal physical inspection and counter-signature of the accompanying Chain of Custody (CoC) form at our Mwanza receiving facility.
RVA Labs reserves the right to reject or isolate consignments that exhibit severe transit damage, compromised sample integrity, leakage, or undeclared hazardous materials (e.g. radioactive ores, asbestos, or unneutralized acidic tailings).
3. Turnaround Times & Reporting
Standard Turnaround Time (TAT) is 5 to 7 business days from the date of confirmed sample intake and receipt of complete analytical instructions. Priority expedited analysis (48 to 72 hours) is subject to laboratory capacity, pre-scheduling agreement, and applicable priority surcharges.
Reported dates represent commercial targets. While RVA Labs makes every effort to fulfill agreed timelines, we shall not be liable for delays resulting from necessary QA/QC re-assay verifications, custom digestions, customs clearance of imported flux reagents, or force majeure events.
4. Quality Assurance & Repeat Analysis
All work is performed in accordance with RVA Labs internal quality management protocols, incorporating Certified Reference Materials (CRMs), blanks, and duplicates. If routine internal QA/QC criteria are not met, the affected tray is re-assayed immediately at RVA Labs sole expense.
If a Client requests a dispute re-assay on pulps or coarse reject splits, the re-analysis will be billed at standard rates. If the re-assay differs from the original certificate by more than acceptable statistical variance (> 10% Relative Percent Difference on values greater than ten times the detection limit), the re-test charge will be waived and an amended Certificate of Analysis issued.
5. Invoicing & Certificate Release
Quotations are valid for 30 calendar days from the date of issuance. Unless explicit corporate credit terms have been approved in writing, payment is due upon presentation of proforma invoice prior to the dispatch of final signed Certificates of Analysis.
6. Limitation of Liability
RVA Labs warrants that all services are performed with due professional care, skill, and diligence standard in the mineral testing industry. To the maximum extent permitted under Tanzanian law, RVA Labs total aggregate liability arising out of any analytical error, negligence, or breach of contract is strictly limited to the fee paid by the Client for the specific analytical test or batch in dispute. RVA Labs shall not be liable for any loss of profit, mining concessions, financing facilities, exploration goodwill, or consequential economic damages.
7. Governing Law & Jurisdiction
These terms and conditions and any disputes arising under or in connection with them shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Both parties submit to the exclusive jurisdiction of the competent commercial courts situated in Mwanza, Tanzania.
